This Terms of Service agreement ("Agreement") is a legally binding contract between you and/or the organization you represent ("you," where "you" refers to you as an individual natural person if you are a personal user, or to both you and the organization you represent if you are acting on behalf of an organization) and Modeling Copilot LLC and its affiliates ("Modeling Copilot," "we," "us," or "our") regarding the use of the FiMo Copilot service (collectively, "the Service"). Before using the Service, please take the time to read and understand all the terms of this Agreement.

If you are entering into this Agreement on behalf of an organization, you represent and warrant that: (1) you have full legal authority to bind the organization to this Agreement, and all your actions are recognized as actions of the organization; and (2) the organization you represent and all its users have been made aware of and agree to comply with all terms herein.

This Service is an integral part of the FiMo Copilot offering. You may not log in to or use the Service unless you agree to all the terms of this Agreement. Your action of logging in, enabling the Service, or using the Service in any way, including providing input or receiving output, will be deemed as your unconditional acceptance of all terms of this Agreement and your commitment to be bound by them. We wish to kindly remind you that terms in this Agreement that may have a significant impact on your rights and interests are highlighted in bold for your special attention.

1. Definitions

1.1 Input : Refers to the content entered by the user in the course of using the Service, including but not limited to text, spreadsheet files, images, and other forms of data provided by you.

1.2 Output : Refers to all content generated by the Service based on the user's Input and other processing instructions, including but not limited to text, spreadsheet files, images, and other forms of data.

2. Use of the Service

2.1 The Service is an artificial intelligence service provided by Modeling Copilot based on large language model technology. The Service primarily includes financial model generation, results analysis, modifications, and other services that may be introduced in the future and included within the scope of the FiMo Copilot service. The specific services are subject to what we actually provide.

2.2 The Service is supported by large model technology from third-party partners with whom Modeling Copilot collaborates. You acknowledge and agree that Modeling Copilot has the right to select and change its third-party technology providers at its sole discretion. Rest assured that in our collaboration with these partners, we will impose effective contractual obligations, within the bounds of applicable law, to protect your legitimate rights and interests while using the Service.

2.3 If you are acting on behalf of an organization, the organization has the right to request that Modeling Copilot revoke the Service allocated to users within that organization, provided that the organization furnishes verification materials sufficient to prove its identity in a manner and scope deemed reasonable by Modeling Copilot. Once Modeling Copilot revokes the Service from an account at the organization's request, that account will no longer have access to any content within the Service. Any disputes or losses arising therefrom, whether to you, the organization, or the user, shall be borne by you and the organization you represent.

2.4 The Service is provided for your use only, accessible via your user account. At no time do you have the right to transfer, sublicense, rent, lease, lend, or share the Service, in whole or in part, with any third party.

2.5 The Service is intended for adults. If you are a minor under the age of 13, you must ensure that both you and your legal guardian have read and agreed to all the terms of this Agreement, and that you are using the Service with the consent of your legal guardian. Your legal guardian should guide you in using the Service properly and moderately to prevent over-reliance. Any unlawful, illegal, or breaching actions you take while using the Service will be the legal responsibility of your legal guardian.

3. Disclaimer of Warranties

3.1 You acknowledge and agree that because the Output of the Service is generated by artificial intelligence models:

3.1.1 Due to the limitations of current technology, we provide the Service "AS IS" and "AS AVAILABLE." We cannot and do not guarantee the accuracy, completeness, timeliness, or availability of the Output. The Output may contain factual inaccuracies, flawed opinions, or other defects, and we assume no legal liability for any such content.

3.1.2 The Output is for informational purposes only and does not represent the attitude, opinion, or position of Modeling Copilot. It does not constitute any form of advice or recommendation from Modeling Copilot to you. For matters in professional fields such as law or financial investment, please consult a qualified professional. The AI's responses may not align with your actual situation or real-life circumstances, and you should exercise your own judgment regarding their authenticity and reliability.

3.2 The Output may be sensitive, unreasonable, or cause misunderstanding. If you publish, share, or disseminate the Output in any way, you must prominently label such content to clearly indicate that it was generated by artificial intelligence. You shall be solely responsible for any and all legal liabilities arising from your publication, sharing, or dissemination of such content.

4. Use Restrictions

4.1 You understand that in accordance with relevant laws and regulations, you are responsible for safeguarding your account and password and are legally responsible for all activities that occur under your account.

4.2 When using the Service, you must not interfere with or disrupt its normal operation, induce the Service to generate content that violates laws, regulations, public morals, or public order, or infringe upon the legitimate rights and interests of others (including but not limited to copyrights, patents, trademarks, trade secrets, and other intellectual property rights). Furthermore, you promise not to disclose, use, or involve any confidential information, important data, sensitive information, or personal privacy of any party, including yourself, while using the Service.

4.3 The Service may provide identical or similar Output to different users. You acknowledge and agree that, unless otherwise stipulated by law or a valid agreement, you do not have any exclusive rights to such Output, and you may not restrict other users from using the same or similar Output.

4.4 If the Input you provide or the content you wish to process using the Service does not comply with our content and conduct policies, you may be unable to use the Service properly. You agree not to use the Service and/or its Input or Output for any illegal or prohibited activities, including but not limited to publishing, transmitting, or sharing any information containing illegal content. If we discover illegal content or receive a report or complaint that a user has violated this Agreement, we have the right, within the scope of applicable law, to take action on the relevant content without notice, and may, depending on the severity of the violation, suspend or terminate part or all of the Service provided to you.

4.5 If you discover that any Output from the Service violates content policies, laws, or regulations, or infringes upon your legal rights, you have the right to file a complaint or report with us through the feedback channels listed at the beginning of this Agreement. Upon receiving your complaint or report, we will actively investigate the situation and typically provide you with a response on the outcome within fifteen (15) business days. During the investigation, we may require your cooperation in providing necessary supporting materials, and we will contact you in a timely manner.

5. Intellectual Property

5.1 You Shall Know:

5.1.1 All intellectual property rights in the content used by us to provide the Service (including but not limited to software, code, technology, user interfaces, web pages, text, images, charts, audio, video, and trademarks, hereinafter "Our Content") belong to us or our licensors. Except as expressly authorized by this Agreement, you may not use or create derivative works from Our Content in any way. You shall not use any robot, spider, or other automated program or device to monitor, scrape, or copy any of Our Content, or use it to apply for intellectual property registration, for secondary development, or to engage in competing business activities.

5.1.2 You shall not reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of Our Content or circumvent any technical limitations of the Service. You agree not to tamper with or otherwise attempt to bypass any billing or usage metering mechanisms of the Service (if any).

5.1.3 The determination of whether intellectual property rights exist in the Output, and the ownership of such rights, is your sole responsibility to assess and handle. We shall not be liable for any loss arising therefrom. If your actions in this regard cause us any loss, you agree to indemnify us for such losses. For the avoidance of doubt, if the Input or Output contains elements in which we hold intellectual property rights or other legal interests, those rights shall remain with us at all times, regardless of how such elements are integrated during the service process, and their ownership will not be transferred upon generation of the Output.

5.2 Regarding the Input you provide and the content you wish to process using the Service, you represent and warrant that:

5.2.1 Such content is your original creation or you have obtained all necessary legal authorizations from the relevant rights holders, and it does not infringe upon the legal rights of any third party (including but not limited to rights of reputation, name, likeness, privacy, as well as copyrights, trademarks, patent (application) rights, trade secrets, and any other intellectual property rights). You shall be solely responsible for any disputes or risks arising therefrom.

5.2.2 For the purpose of providing the Service to you, you grant us a worldwide, non-exclusive, royalty-free license to store, process, and use such content, and to transmit it to our third-party technology providers (if any). You agree that, within the scope permitted by law, our third-party technology providers have the right to store and process such content as necessary to provide the Service.

6. Term and Termination

6.1 The term of this Agreement is concurrent with the service period during which you are entitled to use the Service.

6.2 We reserve the right to terminate the operation of any one or more paid features of the Service at our sole discretion at any time. In such an event, for any prepaid but unused portion of such terminated paid services (if any), we will fulfill our obligations to provide notice and refunds as required by applicable laws and regulations and offer relevant customer support. The specifics will be detailed in the notice provided at that time. If you have any questions about the notice, you may contact us through the contact methods listed at the beginning of this Agreement.

6.3 Except as stated above, we are not required to refund any service fees under any other circumstances. If this clause conflicts with any other term, this clause shall prevail.

7. Governing Law and Dispute Resolution

7.1 This Agreement and any dispute arising out of or in connection with it shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.

7.2 In the event of any dispute arising from or related to the content or execution of this Agreement, the parties shall first attempt to resolve it through friendly negotiation. If negotiation fails, either party may submit the dispute to the exclusive jurisdiction of the state and federal courts located in Laramie County, Wyoming.

8. Miscellaneous

8.1 Please note that any rules, guidelines, and notices displayed on the Service's interface are an integral and inseparable part of this Agreement.

8.2 This Agreement constitutes the entire legal agreement between you and us regarding your use of the Service. Unless otherwise mandated by law, upon publication, any amendments to this Agreement will supersede the original terms and take effect automatically. If you continue to use the Service after we have modified this Agreement, you will be deemed to have read and agreed to all the modified terms.
